Terms of Service

These Terms of Service (“Terms”) govern your access to and use of Invoinex (“we”, “us”, or “our”) websites, product, and related services (the “Services”). They reflect how the product works today. They are not legal advice; you may want counsel to review them for your jurisdiction.
By creating an account, checking the agreement box at sign-up, or using the Services, you agree to these Terms. If you do not agree, do not use the Services. Questions: info@invoinex.com.
The Services
Invoinex provides tools to create and manage invoices and proposals, store business and client information, invite teammates, optionally collect payments (including through Stripe integration and other methods you configure), and request electronic signatures where offered. Features may change as we develop the product.
You are responsible for how you use the Services in your business, including the accuracy of invoices, proposals, tax treatment, and communications with your customers.
Accounts
- You must provide accurate account information and keep your credentials confidential.
- You must be able to form a binding contract and use the Services only for lawful business purposes. The Services are not directed at children under 16.
- You are responsible for activity under your account, including actions by teammates you invite.
- Notify us promptly if you suspect unauthorized access. We may suspend or terminate accounts that pose security or abuse risks.
Acceptable use
You agree not to:
- Use the Services for unlawful, fraudulent, or deceptive activity.
- Infringe others’ rights, or upload malware or content that is harmful or prohibited by law.
- Attempt to disrupt, probe, or reverse engineer the Services except as allowed by law.
- Abuse email or messaging features (for example spam), or circumvent rate limits or security controls.
- Resell or provide the Services to third parties as a white-label offering without our written permission.
Billing and subscriptions
Paid SaaS plans for Invoinex are billed through our payment processor (Stripe). Fees, renewal, and cancellation terms shown at checkout or in the product apply. Taxes may be added where required.
If you enable customer payments on invoices (for example Stripe integration or other payment methods), you are the merchant of record for those customer charges as configured with the payment provider. Invoinex does not hold your customers’ card funds for those flows except as described by the provider. You must comply with Stripe’s and any other provider’s terms that apply to you.
We may change plan pricing with notice as described in the product or by email. Failure to pay may result in suspension or loss of paid features.
Your content and customer data
You retain ownership of content and data you submit to the Services (clients, invoices, proposals, files, signatures, and related business records). You grant us a limited license to host, process, and display that content solely to provide and improve the Services and as described in our Privacy Notice.
You represent that you have the rights needed to submit that content and to send invoices, proposals, and signature requests to your recipients.
Third-party services
The Services may integrate with third parties such as Stripe (for users who already use Stripe), email delivery providers, and hosting or authentication infrastructure. Their terms and privacy practices apply to their processing. See also our Privacy Notice and Cookie Policy.
Electronic signatures
Where e-sign features are available, they are tools to capture agreement between you and your counterparties. You are responsible for whether an electronic signature is valid for your documents and jurisdiction. We do not provide legal advice about enforceability.
Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT INVOICES, PAYMENTS, OR SIGNATURES WILL MEET YOUR LEGAL OR ACCOUNTING REQUIREMENTS.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOINEX AND ITS SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US FOR THE SERVICES IN THE TWELVE MONTHS BEFORE THE CLAIM OR (B) ONE HUNDRED U.S. DOLLARS (US $100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS; IN THOSE CASES OUR LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.
Indemnity
You will defend and indemnify Invoinex against claims, damages, and expenses arising from your content, your use of the Services, your customer payment or signature flows, or your violation of these Terms or applicable law, except to the extent caused by our willful misconduct.
Termination
You may stop using the Services and delete your account from dashboard settings when that option is available. We may suspend or terminate access if you breach these Terms, create risk for other users or providers, or if we discontinue the Services. Provisions that by their nature should survive (including ownership, disclaimers, and limits of liability) will survive termination.
Changes
We may update these Terms from time to time. We will post the revised Terms on this page and update the effective date above. If you object to changes, you may stop using the Services and delete your account. Continued use after an update means you accept the revised Terms.
General
These Terms are the agreement between you and Invoinex regarding the Services and replace prior terms on the same subject. If a provision is unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
